User Agreement

By accessing, or using the Site, User expressly agrees to be bound by the terms and conditions set forth in this Agreement. If User does not agree with any provision of this Agreement, User must refrain from using the Site.

We reserve the right at any time to make changes to the Terms. Your continued use of the Site after we post changes to the Terms constitutes your acceptance of the new terms. The amended Terms supersede all previous versions of the Terms. You will always have access to the Terms and will be able to check it at any time. Smorez is not a fiduciary and will not have any fiduciary duties to you or any third party by virtue of any use of the Site.

- harvest, collect, or gather user data without the user's consent; or

- use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

5.2 Privacy Policy: The Privacy Policy, an integral part of this Agreement, outlines how your personal information is collected, used, and disclosed. By using the Site, you expressly consent to the terms of the Privacy Policy.

6.1 License: Subject to the terms of this Agreement, Smorez LLC grants you a limited, non-exclusive, non-transferable license to use the Site solely for personal or non-commercial purposes.

6.2 Intellectual Property: The Site, including all content, features, and functionality, is owned by Smorez LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works based on the Site. You acknowledge that you do not acquire any ownership rights by using the Site. Smorez reserves all rights not expressly granted in and to the Site.

6.3 Unauthorized Automation for Data Collection: You may not use any unauthorized method of automated data collection, such as web crawlers, web scrapers, or bots to access the Site or to extract data, unless solely for search indexing to display on the Internet.

6.4 Malicious Engagement: You shall not introduce any malicious software to the Site or engage in malicious software attacks on the Site.

IN NO EVENT WILL SMOREZ LLC, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SUPPLIERS, ADVERTISERS, AGENTS, SPONSORS, INFORMATION PROVIDERS NOR ANY OTHER THIRD PARTY INVOLVED IN OR RELATED TO THE MAKING OR COMPILING OF THE SITE BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON THE SITE, OR CLAIMS ARISING FROM HACKED PASSWORDS, FORGOTTEN PASSWORD, SERVER FAILURE OR LOSS OF DATA, OR ANY UNAUTHORIZED THIRD-PARTY ACTIVITIES. IN THE CONTEXT OF THIS AGREEMENT “CONSEQUENTIAL DAMAGES” INCLUDES BUT IS NOT LIMITED TO, REAL OR ANTICIPATED LOSS OF PROFIT, LOSS OF BENEFIT, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF OPPORTUNITY, LOSS OF SAVINGS, LOSS OF REPUTATION, LOSS OF USE AND/OR LOSS OR CORRUPTION OF DATA. THE AFOREMENTIONED LIMITATION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, EVEN IF SMOREZ, ITS INFORMATION PROVIDERS, OR ANY OTHER THIRD PARTY INVOLVED IN OR RELATED TO THE MAKING OR COMPILING OF ANY PART OF THE SITE HAS BEEN ADVISED OF OR OTHERWISE MIGHT HAVE ANTICIPATED THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING IT.

The aforementioned limitations of liability apply to the fullest extent permitted by applicable law, and you hereby release and discharge the Company from any and all liability, whether based on contract, tort, or any other legal theory, arising out of or in any way connected with your use of the Site.

By utilizing the Site, you expressly waive any claims against Smorez LLC arising from the events and circumstances detailed above. This limitation of liability is an essential basis of the bargain between you and Smorez LLC, and the Site would not be provided to you without such limitations.

You agree to defend, indemnify, and hold harmless Smorez LLC, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of the Terms; (b) your use of Site in any manner, including, but not limited to, any use of the Site’ s content and any information obtained from the Site; (c) the use of the Site by any third-party using your account credentials; (d) your violation of the rights of any third party; or (d) any action taken by Smorez, acting reasonably, as part of its investigation of a suspected violation of the Terms or as a result of its finding or decision that a violation of the Terms has occurred. This obligation shall survive the termination or expiration of your use of the Site.

Smorez LLC reserves the right to update, modify, or discontinue the Site, in whole or in part, at any time without notice. You acknowledge that Smorez LLC shall not be liable for any consequences resulting from such updates, modifications, or discontinuation.

Smorez has the right to terminate your access to the Site, in its sole discretion.

11.1 As-Is Basis: The Site is provided "as is" without any warranties. Smorez LLC disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

11.2 No Guarantee of Accuracy: While Smorez LLC strives to provide accurate information, it does not guarantee the accuracy, completeness, or reliability of any data or information provided by the Site.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
